NATIONAL PASSENGER TRANSPORT
CONSITITUTION
SECTION ONE
ASSOCIATION RULES
1. NAME
The Association shall be called the National Passenger Transport Sports Association.
2. OBJECTS
The objects of the Association shall be to govern promote, encourage and co-ordinate sport and recreation throughout the United Kingdom on the National basis.
3. MEMBERSHIP
(a) Membership to the Association shall be available throughout the United Kingdom to all Passenger Transport Organisation within:-
(i) The Bus Passenger Transport Industry.
(ii) Tram, Guided Buses and Light Rail systems.
(iii) Districts, Depots, Garages, offices within the above entering as separate entities subjects to the approval of their parent organisation and or club/Association where one exists.
(iv) Membership of the Association is also available to, organisations, club/Associations who, with permission, join together to form a team to compete. This membership must meet the following criteria: All companies, organisations, clubs/associations must have current membership of the National Passenger Transport Association in their own right, an additional membership fee shall be payable to the National Passenger Transport Sports Association. The joining companies, organisation, club/association must: be with-in the same geographical location and when added together the total number of buses from all companies should not exceed 450.
(b) Individual membership will be available to ALL individuals that are in membership of the Association as defined in rule 3(a)
(c) Membership of the Association shall en-title member organisations and individuals to participate in any National Passenger Transport Competitions, providing they are in membership of the association by payment of the annual subscription to the Association defined in rule 4, together with appropriate subscription payable to the respective National Passenger Transport Competition.
(d) The coach and Bus First aid Association shall be an affiliated member organisation and having regard to the work done by them and their members the association will do everything possible to assist them in the promotion of their activities. No subscription will be payable by the Coach and bus First Aid Association.
(e) The Management Board are empowered to propose refusal of membership of the Association of any individual or undertaking to an Annual General Meeting and must give their reasons for such a proposal.
4. SUBSCRIPTIONThe subscription of the Association shall be decided at an, Annual General Meeting and shall be payable as from 1st January each year.
5. MANAGEMENT.
(a) The structure of the Association shall be vested in a Management Board, to be convened when required and will consist of :-
(i) A Chairperson, Vice Chairperson, Honorary Secretary, Honorary Treasurer.
(ii) Two nominated members Passenger Transport Competitions Council
(iii) One nominee from Central are (defined as Wales and the English geographical counties of Cheshire, Derbyshire, Nottinghamshire, Lincolnshire, Stafford, Shropshire, Worcester, Herefordshire, West Midland’s Warwickshire, Leicestershire, Northamptonshire, Cambridgeshire, Norfolk, and Suffolk), one nominee form the South area (defined as the area of England south of the central area), and one nominee from the North area (defined as the area of England north of the central area and Scotland).
(iv) One appointed publicity officer.
(b) Passenger Transport Competitions Council to be convened four times a year and will consist of:-
(i) The Management Board
(ii) One nominee from each National Passenger Transport Competition who will have voting right on behalf of the competition.
(c) Members of (a) shall be elected at the Association Annual General Meeting to serve for a period of three years, a proportion of who shall retire annually and would be eligible for re-election. In the elected area nominees, only member organisations which are located in the respective are shall be permitted to cast a vote in favour of a nominee for that area.
(i) Vice President shall be elected at the Association Annual General Meeting to serve for a period of three years and would be eligible for re-election.
(ii) Vice Presidents and Life Vice Presidents elected under rule 5(g) shall be entitled to attend any meeting of the Association or of individual competitions. Such persons are not entitled to vote unless acting as a nominated representative of a competition or organisation in membership.
(d) At all meetings of the Management Board 60% of the members shall form a quorum and at the Passenger Transport competitions Council meetings 40% of the members shall form a quorum.
(e) Any vacancy, which may occur on the Management board, may be filled at the discretion of the Management board and such appointments shall hold until the following Annual General Meeting.
(f) The Association Management Board shall have the power to co-opt additional members with voting rights if necessary. Such co-options will hold well until ratified at the following Annual General Meeting.
(g) All members of the Management Board and the Passenger Transport Competitions Council shall be bona-fide employees, superannuated or retired member so the National Passenger Transport Organisation or residual Passenger Transport Executive in membership of the Association.
(h) The Passenger Transport Competitions Council may, at its discretion submit to the Annual General Meeting nominations for Life Vice Presidents and Vice Presidents of Association in respect of any member or person who in their opinion has given valued service to the association.
(i) The Management Board shall be authorised to arbitrate on any question of Rules or persons, groups and organisations competing in any National Passenger Transport Competition. Such decisions shall be binding on all parties.
(j) The Passenger Transport Competitions Council shall be empowered to take any disciplinary action as deemed necessary in the event of any misconduct by any member. The Passenger Transport Competitions Council shall hold meetings at least twice per year.
6. ANNUAL GENERAL MEETING.
The Annual General meeting of the Association and National Passenger Transport Association.
Competitions shall be held in the month of March at such time and place as the PassengerTransport Competitions Council determine of which each undertaking in membership and each competition shall receive at least 28 days notice.
The business of the Annual General Meeting shall be:-
(i) To elect a President, Vice Presidents, Life Vice Presidents, Chairperson, Vice Chairperson, Honorary Secretary, Honorary Treasurer, Assistant Secretary. All with the exception of the President Vice Presidents and Life Vice Presidents shall be permitted to vote.
(ii) To receive a statement of Accounts and balance sheet by the treasurer duly audited together with a report from the treasurer.
(iii) To transact any other business of which notice of motion shall be submitted to the Association Secretary in writing not less than fourteen (14) days prior to the Annual General Meeting.
(a) An organization in membership of the Association should be represented at The Annual General Meeting. Each organisation in membership is only entitled to one vote and is not permitted to vote for any other organisation.
(b) At all Annual General Meetings of the Association any decision by a majority at such meetings shall be deemed to be that of the Association and shall be binding on all members and cannot be revoked except at the succeeding Annual General Meeting or a Special General Meeting.
(c) Voting at an Annual General Meeting or Special General Meeting will be permitted as follows:-
(i) All Member Organisations
(ii) All members of the Management Board
(iii) All members of the Passenger Transport Competitions Council. President, Vice Presidents and Life Vice Presidents are not permitted to vote. The Association Chairperson or his representative will have the casting vote in any deadlock.
(d) The Management Board will have the authority to call for a postal ballot if it deems right to do so.
(e) Tellers shall be appointed as required by the chairperson. No teller may be so appointed if he or she has a personal involvement in the matter being voted upon.
(f) At all Annual General Meetings 20% of the member organisations of the Association shall form a quorum.
7. SPECIAL GENERAL MEETING.
(a) A Special General Meeting of the Association may be called at the discretion of either the Management Board and/or The Passenger Transport Competitions Council Development Committee on their won authority or upon receiving a requisition signed by 20% f the members organisations, stating the business to be transacted at such a meeting and not less than fourteen (14) days notice of such a meeting shall be given to each organisation in membership
(b) No other business shall be transacted at a Special General Meeting other than that specified in the notice of such a meeting and the decision of two thirds majority present shall be deemed to e that of the Association
(c) The Management Board will have the authority to call for a postal ballot if it deems right to do so.
8. PAYMENTS OF ACCOUNTS.
(a) Payments for work executed, goods or articles supplied and grants and donations duly authorised by the Management Board shall be paid by cheque signed by the Honorary Treasurer and counter signed by on of the three preventatives nominated by the Management Board who shall further be empowered to sign such other financial documents appertain to the affairs of the Association.
(b) Any debt due to the Association shall be deemed a debt due to the Honorary Treasurer and shall be recoverable by him/her on behalf of the Association.
(c) The financial year of the Association shall end on 31st December.
9. ALTERATIONS TO RULES.
No new rules shall be made or any of rules contained herein shall be amended altered or rescinded without the consent of a two thirds majority of those member organisations present at the Annual General Meeting of the Association or by postal vote if one is sanctioned by the Management Board.
10. GENERAL
(A) Membership of the Association is granted on the understanding that member organisations comply with and abide by the rules of the Association and the respective competitions.
(b) Any breach of these rules or nay dispute arising out of these rules not covered shall be referred to the Passenger Transport Competitions Council, which shall take appropriate action.
(c) The Management Board is elected to administer, run and promote the National Passenger Transport Association and is empowered to carry out any actions for the betterment of the Association. Any such action should undergo the process of debate and have the approval of the majority of the Board. Any such actions(s) taken should be ratified by the following Annual General Meeting.
Every section/person has a right to appeal; this appeal should be addressed to the Management Board and should be in writing. After deliberation any decision arrived at by the Management Board shall be binding on all parties
11. WINDING UP O F THE ASSOCAITION
(a) If at any General Meeting a resolution for the dissolution of the Association shall be passed by a majority of the members organisations present, a Special General Meeting shall be held not less than one month thereafter at which not less than two-thirds of the member organisations shall be present in person or by proxy received by the Secretary not less than 24 hours before the date of such Special General Meeting.
(b) Should the resolution be passed by a majority of two thirds of the member organisations present or by proxy, the Management Board shall thereupon proceed to release the assets of the Association. After the discharge of all liabilities, any balance shall be equally divided between the National Passenger Transport Association Competition be in existence such balance shall then be donated to a charity as agreed upon by the Management Board.

ASSOCIATION RULES
GOVERNING COMPETITIONS.
12. (a) Membership of the Association shall entitle such member organisations to participate in any National Passenger Transport Association Competitions, which are in membership of the Association as defined in rule 3, together with the appropriate subscription payable in respective National Passenger Transport Competition.
(b) No National Competition or Recreational activity shall be formed unless it has the approval of the Association Management Board and no competitions or Recreational activity shall be allowed to enter into any sponsorship on behalf of the Association and/or Passenger Transport Competition or recreational activity without the authority of the Management Board. Management Board and Passenger Transport Competition must inform the Passenger Transport Competition Council of all sponsors to their respective competitions giving start and end dates of the sponsorship to their respective competitions giving start and end dates of the sponsorship agreement.
13. ELIGIBILITY to enter NPTSA Competitions
(a) The management of each National Passenger Transport Association Competition shall be vested in a Management Committee as per rule 3 of this constitution. This management committee shall be convened when necessary consisting of:-
1. A President
2. A. Chairperson, Vice Chairperson, Honorary Secretary, Honorary Treasurer (The posts of Secretary and Treasurer can be combined with the approval of the competition management committee. All of whom shall have served a minimum of two years on the respective Management Committee prior to election, or with the approval of the Association Management Board together with:-
3. A declared number of representatives as in 13a, 2 above shall be elected at the Competition Annual General Meeting to serve for a period of three years, one third of whom shall retire annually and be eligible for re-election as per rule 3. At all meetings of Competition Management committee 20% of the membership shall form a quorum.
(b) The Management Committee of each Competition shall be responsible to the Association, Management Board for the management of that competition in accordance with the rules of that competition as may be governed by any National Sporting Body and in accordance with the constitution of the Association.
(c) Nominations for election to a Competition Management Committee shall be accepted at the Competition Annual General Meeting. Retiring officers and committee members shall be eligible for re-election and shall submit in wiring at least fourteen (14) days prior to the competition annual general meeting their intention to resign or stand for re-election.
(d) Any vacancy. Which may occur on any competition Management Committee may be filled at the discretion of the appropriate Competition Management Committee and such appointment(s) shall hold good until the following Competition Annual General Meeting
(e) The competition management committee may submit to the Association Annual General meeting nominations for Life vice Presidencies of the Association and/or respective national Passenger Transport Association Competitions, in respect of any officers Executive Council or Management Committee member or Secretary who has in their opinion given valued service to the Association and/or National Passenger Transport association Competition. Such Vice Presidents will be entitled to attend any National Competition meeting but shall not be permitted to vote (as per rule 5c 1)
(f) The Secretary of each Competition shall be responsible for submitting to the Management Board, minutes of their Management Committee meetings together with a copy of the competitions, annual accounts, annual reports, competition results and general details of the years working, no later than the 31st January each year.
(g) The Management board will ratify all matters relating to the financial situation of grants. Applications for grants are to be submitted to the Association Secretary no later than the 10th January each year and all such applications should include a copy of the previous years balance sheet duly audited and signed.
(h) It is the Secretary/Treasurers responsibility to ensure that all cheques issued on behalf of their national Passenger Competition, are duly signed and counter signed
15 ANNUAL GENERAL MEETING
(a) The Annual General Meeting of the Association and National PassengerTransport Association Competitions shall be held in the month of March at such time and place as the Passenger Transport Competitions Council may determine of which each organisation in membership of each competition shall receive at least 28 days notice. The business of the Annual General Meeting shall be:-
1. To elect a Chairperson, Vice chairperson, Secretary and/or Treasurer, and Management Board.
2. To receive a statement of accounts and balance sheet by the treasurer duly audited from each Competition secretary including competition results and general working details, such reports being those for the completed seasonal activity prior to the Annual General Meeting of the National Passenger Transport Association Competition and a copy submitted to the Association Secretary, together with a report from the treasurer. Where applicable annual accounts should end at 31st December.
3. To transact any other business of which notice of motion shall be submitted to or by the appropriate competition in writing not less than fourteen (14) days prior to the date of the Competition Annual General Meeting.
4. A team or teams in membership of a National Competition should be represented at the Competition Annual General Meeting but only one representative may vote on any issue affecting their respective competition and is no permitted to vote for any other company. Only member teams of the respective national Passenger Transport Sports Association Competitions are permitted to vote.
5. At al Annual General Meetings of the National Passenger Transport Association any decision by a majority at such meetings shall be deemed to be that of the National Passenger Transport Association Competition and shall be binding on all members and cannot be revoked except at a succeeding Annual General Meeting.
16. SPECIAL GENERAL MEETING.
(a) A special General Meeting of the National Passenger Transport Association Competition may be called at the discretion of either the Management Committee on its own authority or upon receiving a requisition signed by 20% of the members organisations stating the business to be transacted at such a meeting and not less than fourteen (14) days notice of such a meeting shall be given to each organisation in membership.
(b) No other business shall be transacted at a Special General Meeting other than that specified in the notice of such a meeting and the decision of two-thirds majority present shall be deemed to be that of the Competition.
17. ALTERATIONS TO RULES.
No new rules shall be made nor shall any of the rules contained herein be amended, altered or rescinded without the consent of a two-thirds majority of those member organisations present at the Annual Genera Meeting of the National Passenger Transport Competition and shall not conflict with the rules of the Association.
18. WINDING UP OF AN N.P.T.S.A. COMPETITION.
(a) If at any General Meeting a resolution for the dissolution of a N.P.T.S.A. Competition shall be passed by a majority of the member organisations present, a Special General Meeting shall be held not less than one month thereafter at which not less than two-thirds of the member organisations shall be present in person or by proxy received by the Secretary not less than 24 hours before the date of such Special General Meeting.
(b) Should be resolution be passed by a majority of two-thirds of the member organisations present or by proxy, the Competition Management Committee shall thereupon proceed to release the assets of the Competition. After the discharge of all liabilities, any finance, trophies and property held by the competition shall become the property of the national Passenger Transport Association.
